1. General Overview

By requesting a quote, accessing our website, or commissioning a digital product from OverlayLabz, you agree to be bound by these Terms of Service. We specialize in custom digital design and widget integration for live broadcasting.

2. Quotes, Payments and Refunds

All quotes provided via our website form are free and carry no obligation. Once a project is agreed upon, an invoice will be issued. Due to the custom, digital nature of our work, all sales are final and non-refundable once the design or coding process has commenced or the final files have been delivered.

3. Intellectual Property and Licensing

Upon full payment, you are granted a non-exclusive, non-transferable license to use the commissioned overlays and software on your broadcasting channels. OverlayLabz retains the underlying copyright to the code architecture and design templates. We reserve the right to display the finalized commissioned work in our portfolio and social media for promotional purposes, unless a Non-Disclosure Agreement (NDA) is signed prior to project commencement.

4. Revisions and Scope of Work

Each project includes a specific number of revision rounds detailed in your project proposal. Revisions are meant for minor adjustments. Major structural changes, complete redesigns, or feature additions requested after the initial approval of the scope of work will incur additional hourly or fixed costs.

5. Third-Party API Limitation of Liability

OverlayLabz engineers solutions that frequently rely on external platforms and APIs (including but not limited to OBS Studio, Twitch, Kick, YouTube, Google Maps, and various fitness trackers). We are not liable for any malfunctions, downtime, or breakage of our widgets caused by third-party platform updates, API deprecations, or software changes that occur after the final delivery of the project. Ongoing maintenance or updates required due to third-party changes will be quoted as separate work.

6. Governing Law

These Terms shall be governed by and defined following the laws of Poland and the European Union. TEXLINK Daniel Łoś and yourself irrevocably consent that the courts of Poland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
